These Terms of Service ("Terms") govern your use of the Patinay website (patinay.com) and our consulting services. By using our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.

Our Services

Patinay provides digital consulting services for restaurants, including but not limited to website design, brand identity, copywriting, social media setup, Google Business Profile optimization, and photography direction. The specific deliverables, timelines, and fees for each engagement are outlined in the package or proposal agreed upon before work begins.

The Audit Call

The Audit Call is a paid service ($99 at the time of writing) that includes pre-call research of your online presence, a 30-minute consultation, and a branded scorecard delivered via email. The audit fee is credited toward the cost of any package you choose to purchase within 60 days of the audit.

Payment

• The Audit Call fee is due at the time of booking.
• For project packages, payment terms are outlined in your proposal. Typically, a deposit is due before work begins, with the remaining balance due upon completion.
• All fees are quoted in U.S. dollars.
• Payments are processed through secure third-party processors (e.g., Stripe). We do not store your payment details.

Refunds & Cancellations

• Audit Call: If you cancel your audit call at least 24 hours in advance, you are eligible for a full refund. No-shows and cancellations within 24 hours are non-refundable.
• Project Packages: If you choose to cancel a project after work has begun, you are responsible for the cost of work completed to date. Any deliverables produced up to the point of cancellation will be provided to you. Deposits on unstarted work are refundable.

Intellectual Property & Ownership

This is important to us — and to you:

• Your Content: Any content, photos, menus, or materials you provide to us remain your property at all times.
• Our Deliverables: Upon full payment, all deliverables we create for you — including your website, logo, brand assets, copy, and any other materials — become your property. We transfer full ownership to you.
• Portfolio Use: We may use completed work in our portfolio, case studies, and marketing materials unless you request otherwise in writing. We will always credit your restaurant when showcasing work.
• Third-Party Assets: Some deliverables may include third-party assets (fonts, stock images, platform templates) that are subject to their own license terms. We will inform you of any such assets and their applicable licenses.

Your Responsibilities

To deliver the best results, we need your participation. You agree to:

• Complete the intake form in a timely manner
• Provide feedback during scheduled check-ins
• Supply any content, photos, or information we request to complete deliverables
• Review and approve deliverables within the agreed-upon timeline

Delays in providing feedback or materials may extend your project timeline. We will always communicate proactively if timelines are affected.

Revisions

Each package includes a specified number of revision rounds (1 for Visible, 2 for Distinct, 3 for Prestige). Additional revisions beyond the included rounds may incur additional fees, which we will communicate before proceeding.

Limitation of Liability

Patinay provides digital consulting and creative services. While we work to deliver high-quality results that help your restaurant succeed online, we cannot guarantee specific business outcomes such as increased reservations, revenue, or search rankings. Our services are provided "as is" and we make no warranties, expressed or implied, regarding the results of our work.

To the fullest extent permitted by law, Patinay's total liability for any claim arising from our services shall not exceed the amount you paid us for the specific service in question.

Confidentiality

We treat all information you share with us — your business details, strategies, financials, and any other sensitive information — as confidential. We will not share this information with third parties without your consent, except as required to deliver our services (e.g., sharing brand guidelines with a printer) or as required by law.

Website Use

When using our website, you agree not to:

• Use the site for any unlawful purpose
• Attempt to gain unauthorized access to any part of the site
• Copy, reproduce, or distribute our content without permission
• Interfere with the proper functioning of the website

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of law provisions. Any disputes arising from these Terms or our services shall be resolved in the courts of North Carolina.

Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. Continued use of our website or services after changes are posted constitutes acceptance of the updated Terms.
